Terms of Service and Sale

These Terms of Service and Sale (“Terms”) govern your access to and use of the Cornerstone Coatings website and any related pages, checkout flows, customer service communications, and purchases of products from us.

In these Terms, “Cornerstone Coatings,” “we,” “us,” and “our” means the legal entity operating this website and selling the products.

By accessing or using this website, placing an order, requesting a quote, or purchasing products from us, you agree to these Terms. If you do not agree, do not use the website or purchase products from us.

1. Eligibility and authority

If you place an order on behalf of a company, contractor, or other organization, you represent that you have authority to do so, and bind that entity to these Terms.

2. Scope of these Terms

These Terms apply to:

  • use of our website;
  • all product listings, quotes, invoices, and order confirmations;
  • all purchases made through our website or directly through us;
  • customer service communications by phone, text, email, or similar channels.

Our Shipping Policy, Refund Policy, and Privacy Policy are incorporated into these Terms. If there is a conflict, the following order controls unless we state otherwise in writing:

  1. signed custom supply agreement;
  2. order confirmation or invoice issued by us;
  3. these Terms;
  4. Shipping Policy / Refund Policy / Privacy Policy.

3. No quote or listing is a binding acceptance

Website listings, price displays, product descriptions, and informal quotes are invitations to purchase only. They are not a binding acceptance by us.

An order is accepted only when we do one of the following:

  • send a written order confirmation;
  • issue an invoice and accept payment;
  • ship the product.

We may reject, limit, cancel, or refuse any order in whole or in part, including for pricing errors, stock issues, suspected fraud, unauthorized resale, shipping limitations, or other legitimate business reasons.

4. Pricing, currency, taxes, and payment

Prices are shown in the currency displayed on the website or stated in our quote or invoice.

All prices are subject to change without notice until your order is accepted.

Unless clearly stated otherwise in writing:

  • taxes are extra;
  • all duties, brokerage, customs charges, import fees, and similar charges are the customer’s responsibility;
  • all orders are prepaid.

We may correct typographical, pricing, calculation, or system errors at any time before or after order submission. If you make an error after you place an order, you should contact us to make an adjustment or cancel the affected order before shipment for a full refund of the amount paid for that order.

5. Shipping, delivery, inspection, and claims

Shipping and delivery dates are estimates only and are not guaranteed unless we expressly agree otherwise in writing.

You must inspect all shipments immediately upon delivery.

For any shortage, visible damage, incorrect shipment, or other non-conformity:

  • you must note it with the carrier at delivery where applicable; and
  • you must notify us in writing promptly, and no later than 3 business days after delivery for visible issues and 7 business days after delivery for concealed issues.

Your notice must include:

  • order number;
  • product identification;
  • photographs;
  • delivery date;
  • a clear description of the issue.

Failure to provide timely written notice will be deemed acceptance of the shipment to the fullest extent permitted by law unless late notice is expressly accepted by Cornerstone Coatings by in writing by management (agents do not have biding authority to override any policies).

If the customer arranges pickup or third-party transportation, risk passes when the product is made available to the customer or carrier. If we arrange shipping, risk passes on delivery to the delivery address.

Title passes only after full payment has been received.

6. Product information and technical materials

Product descriptions, coverage estimates, instructions, technical data, videos, and other website content are provided for general informational purposes only.

Coverage, performance, appearance, curing results, densification results, polishing results, and similar outcomes vary based on substrate condition, concrete mix, surface preparation, finishing method, timing, weather, temperature, humidity, workmanship, storage, and other field conditions outside our control.

The customer is solely responsible for:

  • determining whether a product is suitable for the intended use;
  • reviewing and following all applicable technical and safety documentation;
  • testing the product in the actual job conditions before full-scale use where appropriate;
  • ensuring product compatibility with the customer’s substrate, process, and project requirements.

7. Safety and compliance

You must use, handle, store, transport, and dispose of products in accordance with:

  • the applicable SDS, TDS, instructions, and labeling;
  • all applicable laws, regulations, and workplace safety requirements;
  • good industry practice.

You are responsible for ensuring that all users, applicators, employees, contractors, and downstream recipients are properly trained and informed.

8. No reliance on informal advice

Only written commitments expressly made by an authorized representative of Cornerstone Coatings in a signed writing or formal written order confirmation are binding.

General statements in marketing materials, phone calls, AI-assisted conversations, texts, emails, videos, FAQ content, or customer service communications do not create any warranty, guarantee, or project-specific performance commitment.

9. Limited warranty disclaimer

Except to the extent prohibited by applicable law or expressly stated by us in a signed writing, all products are sold as is, with all faults, and without any express or implied warranty, representation, or condition, including any implied warranty or condition of merchantability, merchantable quality, fitness for a particular purpose, durability, non-infringement, or performance.

We do not warrant that any product will achieve a particular result in your application or project.

Where applicable law gives you non-waivable rights, nothing in these Terms excludes those rights.

10. Exclusive remedy

If we determine, in our sole reasonable judgment, that product delivered by us did not substantially conform to the product we agreed to supply, our sole obligation and your exclusive remedy will be, at our option:

  • replacement of the affected product; or
  • refund of the amount paid for the affected product.

This exclusive remedy applies only if:

  • the claim is made within the notice periods in these Terms;
  • the product has not been altered, misused, diluted, contaminated, or improperly stored;
  • we are given a reasonable opportunity to inspect the product and related project conditions.

11. Limitation of liability

To the maximum extent permitted by law, Cornerstone Coatings and its owners, officers, employees, contractors, agents, suppliers, and service providers will not be liable for any indirect, incidental, consequential, special, exemplary, or punitive damages.

Without limiting the above, we are not liable for:

  • loss of profit;
  • loss of revenue;
  • project delay;
  • downtime;
  • labor costs;
  • removal or replacement costs;
  • damage to concrete, forms, finishes, coatings, or adjacent materials;
  • loss of use;
  • business interruption;
  • reputational harm;
  • data loss.

To the maximum extent permitted by law, our total aggregate liability arising out of or related to any claim, order, product, or transaction will not exceed the amount actually paid to us for the specific product giving rise to the claim.

12. Returns and refunds

Returns, exchanges, refusals, and refunds are governed by our Refund Policy unless otherwise agreed by us in writing.

We may reject returns of opened, used, contaminated, relabeled, damaged, custom, or improperly stored product.

13. Website use and prohibited conduct

You may not use our website to:

  • violate any law;
  • infringe intellectual property rights;
  • submit false or misleading information;
  • interfere with site operation or security;
  • scrape, crawl, copy, or exploit site content without permission;
  • upload malicious code;
  • impersonate another person or business;
  • use the website in a way that could damage our systems, reputation, or customers.

We may suspend or terminate access to the website at any time for any violation or suspected violation of these Terms.

14. Intellectual property

All website content, branding, product names, graphics, documents, videos, and other materials are owned by Cornerstone Coatings or used with permission and are protected by applicable intellectual property laws.

No license or right is granted except the limited right to view the website for legitimate business and purchasing purposes.

15. Feedback

If you send us suggestions, ideas, reviews, or feedback, you grant us a non-exclusive, worldwide, royalty-free, perpetual license to use, reproduce, adapt, publish, and display that feedback without compensation to you.

16. SMS, calls, and AI-assisted service

We may use phone, email, and SMS communications to respond to inquiries, provide quotes, send order links, confirm payment, provide service updates, or assist with delivery and support.

Unless separately stated and separately consented to by you, our text messages are intended to be transactional or service-related, not promotional.

By providing your phone number to us in connection with an inquiry or order, you consent to receiving those transactional or service-related communications as permitted by applicable law. Message frequency varies. Message and data rates may apply. You can reply STOP to opt out of text messaging where applicable.

We may use AI-assisted tools in customer service workflows. AI output may contain errors and does not replace your obligation to review product documentation and confirm project suitability before use.

Calls may be monitored or recorded where permitted by law.

17. Force majeure

We are not liable for failure or delay caused by events beyond our reasonable control, including carrier delays, supply interruptions, labor disputes, equipment failure, severe weather, natural disaster, government action, war, cyber incidents, or utility outages.

18. Governing law and forum

These Terms and all disputes arising out of or relating to the website, products, or any sale are governed by the laws of the Province of Alberta and the federal laws of Canada applicable therein, without regard to conflict of law rules.

The parties irrevocably attorn to the courts located in Alberta, Canada, unless applicable non-waivable consumer law requires otherwise.

19. Severability

If any provision of these Terms is held unenforceable, the remaining provisions remain in full force to the extent permitted by law.

20. Changes to these Terms

We may update these Terms from time to time by posting a revised version on this page. The updated version is effective when posted, unless stated otherwise.
